Restructured the complete set of home loan documents for a global financial institution. The documentation set includes the facility agreement, mortgage agreement, and tripartite agreements between the bank, borrowers, and real estate developers. Represented a leading export finance institution in structuring a substantial and complex loan to a company in Vietnam and in registering the loan with the State Bank of Vietnam. Assisted the leading investment banking firm in Vietnam with obtaining an investment license for a landmark project in central Vietnam. This development involves complex sub-units and various financing structures. Assisted both sellers and buyers in various M&A deals in Vietnam, including M&A transactions in educational, logistics, and real estate business. Advised a global pharmaceutical company on all aspects of doing business in Vietnam, including regulatory matters, employment termination and labor disciplinary procedures. Advised clients regarding contentious issues in Vietnam, including court litigation and foreign arbitral enforcement.

Vinh Quoc Nguyen is a senior associate in Tilleke & Gibbins’ corporate and commercial group. An expert in Vietnamese banking and real estate laws, he advises high-profile banks on secured and unsecured corporate lending and regulatory compliance. He also has considerable experience assisting clients in real estate development projects, negotiating management contracts, and advising on related real estate matters. Vinh is also experienced in M&A and corporate matters in Vietnam. For over a decade, Vinh served as a Legal Expert in the Ministry of Justice in Hanoi. Vinh continues to serve the government as a lecturer at Vietnam’s Judicial Academy in Ho Chi Minh City and as counsel to numerous government ministries. In 2012, he was appointed as an arbitrator for the Vietnam International Arbitration Center. Vinh’s breadth and depth of legal knowledge is complemented by his strong language skills in English and Japanese. He earned his Doctor of Judicial Science from Meiji Gakuin University in Tokyo and his LLM from Nagoya University in Nagoya. Vinh is a regular contributor to many business and legal journals and magazines such as the Saigon Times and the Legislative Study Journal.
